DeepSynopsis Terms of Use

These Terms of Use ("Terms") govern your access to and use of the websites, mobile applications, and any other online resources operated by Gamma HealthTech FZ LLC ("Gamma HealthTech," "we," "us," or "our") under the brand name "DeepSynopsis" (collectively, the "DeepSynopsis Platform"). The DeepSynopsis Platform offers a range of professional services, including, but not limited to, evidence summaries, medical news, clinical decision-support tools, educational programs (such as CME/CPD), market-research opportunities, discussion forums, sponsored content, advertising, and email communications (together, the "Services").

You can review the most current version of these Terms at any time via the "Terms of Use" link that appears in the footer of every DeepSynopsis property. Certain DeepSynopsis offerings may provide a separate terms-of-use link; in those cases, the linked terms will apply to that specific property or service. If DeepSynopsis acquires or integrates other companies or digital properties, those properties may continue to operate under their existing terms of use until they are formally aligned with these Terms, at which point a link to these Terms will be displayed on the relevant pages.

By accessing or using any part of the Services, whether or not you create an account, you acknowledge that you have read, understood, and agree to be bound by these Terms and to comply with all applicable laws and regulations. These Terms form a legally binding agreement between you and DeepSynopsis. If you do not agree with every provision of these Terms, you must refrain from accessing or using the Services.

Account Registration

To unlock the full functionality of the DeepSynopsis Platform, you must create a personal account. During sign-up, we will ask for certain information, such as your name, professional title, clinical specialty, email address, and any other details requested in the registration form ("Registration Data"). You agree to provide Registration Data that is accurate, current, and complete, and to update it promptly if anything changes. DeepSynopsis may validate or supplement your Registration Data (for example, by checking professional credentials) to keep our records accurate.

You are solely responsible for safeguarding your account credentials (username and password). Do not share them with anyone, and do not allow others to access the Services through your account. All activities that occurs under your credentials will be considered your own. If you believe your account has been compromised, reset your password immediately through your account settings or contact us for assistance. DeepSynopsis will not be liable for any loss or damage resulting from unauthorized use of your credentials.

Use of the Services

  1. Professional Audience
    The DeepSynopsis Platform is built for licensed physicians and other qualified healthcare professionals. By accessing or using any portion of the Services, you confirm that you (a) possess the legal capacity, authority, and professional credentials required to accept and comply with these Terms, and (b) are not barred from using the Services under any applicable law or professional code.
  2. HIPAA & Protected Health Information
    If you qualify as a "Covered Entity" under the U.S. Health Insurance Portability and Accountability Act ("HIPAA") and choose to transmit Protected Health Information ("PHI") via the Services, you agree that such PHI will be handled in accordance with the Business Associate Agreement incorporated by reference into these Terms.
  3. Educational Purpose Only, No Medical Advice
    All content, tools, and features offered through DeepSynopsis are provided solely for educational and informational use. They are not intended to:
    • Render a medical diagnosis,
    • Recommend a specific therapy or product, or
    • Replace the independent clinical judgment of a qualified healthcare professional.

You agree not to use the Services to establish or attempt to establish a physician-patient relationship or to diagnose or treat anyone. You alone remain responsible for evaluating and applying any information obtained through the Services and for complying with all professional standards and laws that govern your practice.

  1. Local Compliance
    Healthcare regulations vary by country and region. DeepSynopsis makes no representation that the Services or their content meet the legal requirements of every jurisdiction. You are solely responsible for ensuring that your use of the Services is lawful where you practice. DeepSynopsis may restrict or block access to the Platform, in whole or in part, in any geography at its sole discretion.
  2. Non-Professional Users
    If you are a consumer who nevertheless accesses professional-level content on the Platform, do not treat that content as medical advice. Always consult your own physician for diagnosis or treatment decisions and, in emergencies, seek immediate medical attention.
  3. License Grant
    Subject to full compliance with these Terms, DeepSynopsis grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access the Platform and view DeepSynopsis content for your personal and professional use only. Except as expressly allowed, you may not copy, modify, translate, distribute, publish, perform, display, sublicense, sell, or otherwise exploit any portion of the Services or content.
  4. Third-Party Resources
    The Platform may link to external websites or resources that DeepSynopsis does not control. DeepSynopsis is not responsible for the availability, accuracy, or content of such third-party resources, and a link does not imply endorsement.
  5. Prohibited Conduct
    You agree not to:
    • Falsify headers or identifiers to disguise the source of any data transmitted through the Services.
    • Frame, mirror, or otherwise display any DeepSynopsis site, app, trademark, or logo without prior written permission.
    • Remove or alter copyright, trademark, or other proprietary notices on the Platform.
    • Use DeepSynopsis trademarks or logos in a business name, email, or URL without written consent.
    • Circumvent, disable, or otherwise interfere with security or access-control measures.
    • Employ scripts, bots, spiders, scrapers, or other automated means to search, harvest, or download content except through publicly available web-browser software.
    • Post chain letters, pyramid schemes, unsolicited advertisements, or spam.
    • Impersonate any person or entity or misrepresent your affiliation.
    • Collect or store personal data about other users without authorization.
    • Disrupt, overload, flood, spam, mail-bomb, or otherwise interfere with the Platform, its servers, or networks.
    • Transmit viruses, malware, or other harmful code.
    • Disclose PHI or other protected data in violation of HIPAA or any privacy law.
    • Violate another user's privacy by sharing their credentials or personal information.
    • Use the Services or content in any manner not expressly permitted by these Terms.
  6. Monitoring & Enforcement
    DeepSynopsis reserves the right, but assumes no obligation, to:
    • Pre-screen, monitor, or record user submissions in public areas of the Platform.
    • Investigate any use of the Services that we believe may violate law or these Terms.
    • Remove or edit any content that, in our judgment, does not comply with these Terms.
    • Suspend or terminate your access to all or part of the Platform for any breach of these Terms.
    • Collect, analyze, sell, or otherwise utilize de-identified or aggregated usage data for any lawful purpose, including commercial analytics.

All rights not expressly granted to you here remain reserved by DeepSynopsis and its licensors.

User Content & Submissions

  1. What Counts as "User Content"
    Some areas of the DeepSynopsis Platform let you upload or share materials, such as text, images, charts, figures, audio clips, datasets, and other files (collectively, "User Content"). User Content does not include your Registration Data.
  2. License You Grant to DeepSynopsis
    By submitting User Content, you give DeepSynopsis a perpetual, worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sub-licensable (through any number of tiers) license to host, store, reproduce, adapt, publish, translate, create derivative works from, distribute, publicly perform and display, index, tag, and otherwise use that User Content, now or in the future, in any format or medium, for purposes consistent with the DeepSynopsis Privacy Policy.
  3. Your Ownership & Representations
    You are solely responsible for every item of User Content you contribute. You represent and warrant that you (a) own the User Content outright or have secured all rights and permissions necessary to grant the license described above, and (b) the User Content, and our use of it under these Terms, does not violate any third-party rights.
  4. Privacy & De-Identification Obligations
    • Remove Personal Identifiers. Before uploading, strip out any information that directly identifies, or could reasonably identify, an individual (e.g., name, email, social-security number, facial photo, unique patient ID, tattoos).
    • HIPAA & Other Laws. If your submission contains Protected Health Information ("PHI") under HIPAA, or any other personally identifiable data, you confirm you have obtained all required authorizations and consents. You accept full liability for any claim arising from a failure to de-identify or obtain proper consent.
  5. Prohibited User Content
    You may not use the Services to share content that:
    • You lack the legal or contractual right to disclose;
    • Infringes or violates another party's intellectual-property, publicity, or privacy rights;
    • Breaches any law or regulation (including HIPAA or local privacy statutes);
    • Is defamatory, obscene, threatening, harassing, abusive, hateful, or otherwise objectionable;
    • Encourages discrimination, racism, bigotry, or violence toward any individual or group;
    • Promotes illegal conduct;
    • Is fraudulent, false, misleading, or deceptive;
    • Is advertising, solicitation, or spam; or
    • Contains malware, viruses, or other code intended to disrupt hardware or software.

Intellectual Property & Proprietary Rights

The DeepSynopsis Platform, including its underlying software, databases, and user interface ("Software"), contains confidential and proprietary material protected by copyright, trademark, patent, trade-secret, and other intellectual-property laws. All text, graphics, tools, data, audio, video, and other materials made available through the Services ("DeepSynopsis Content") are likewise protected.

Except where the law explicitly allows or where DeepSynopsis or an applicable licensor gives prior written consent, you may not modify, rent, lease, loan, sell, distribute, transmit, publicly perform, publicly display, broadcast, scrape, or create derivative works from any part of the Platform, the Software, or DeepSynopsis Content. Any use that is not expressly authorized in these Terms constitutes a breach and may violate the intellectual-property rights of DeepSynopsis or third parties.

You may view DeepSynopsis Content online, download a single copy of an individual article for offline reading, or print one personal copy, provided you keep all copyright notices intact. Access to the Services must occur solely through the interfaces we supply.

Acceptable Use & Restrictions

Unless these Terms clearly state otherwise, you may not:

  • Copy, reproduce, distribute, or modify DeepSynopsis Content for resale, commercial exploitation, or public posting (e.g., bulletin boards, websites, chat rooms).
  • Make DeepSynopsis Content discoverable or retrievable by automated agents, such as robots, spiders, crawlers, or data-mining tools, or reverse-engineer any portion of the Content or Software.
  • Upload, post, or transmit through the Services any material that is unlawful, threatening, defamatory, obscene, harassing, fraudulent, or otherwise violates another party's rights, or that disrupts normal Platform operations (e.g., malware, viruses, spam).
  • Provide false, misleading, or outdated information, or impersonate another person.
  • Violate U.S. export-control laws or other applicable regulations in connection with your use of the Platform.

DeepSynopsis reserves the right to audit or electronically monitor your activity for compliance and may suspend or disable access, without notice, if we detect suspicious or prohibited behavior.

Data Licensed to Third Parties

DeepSynopsis collects both personal and non-personal information. Non-personal data, captured in de-identified or aggregated form from user prompts, interactions, and usage patterns, may be used, transferred, disclosed, or sold for any lawful business purpose. Personal information is handled in accordance with the DeepSynopsis Privacy Policy.

When DeepSynopsis grants a third party ("Licensee") access to de-identified DeepSynopsis User Data under a separate licensing agreement:

  • The data may be used solely for the Licensee's internal business purposes related to healthcare analytics, product development, or similar activities; it may not be resold, sublicensed, or otherwise furnished to additional parties without DeepSynopsis's prior written approval.
  • The Licensee must not employ the data for any unlawful or unauthorized purpose and must safeguard it using commercially reasonable security measures.
  • DeepSynopsis or its licensors retain all ownership rights in the User Data and may terminate the Licensee's access if the underlying agreement, or the user's consent, ends.
  • The Licensee acknowledges that any misuse or misappropriation of the data could cause irreparable harm, entitling DeepSynopsis or affected third parties to injunctive relief in addition to monetary damages.

By accessing DeepSynopsis User Data, the Licensee agrees to these conditions and any additional terms set out in the applicable license agreement.

No Medical Advice

DeepSynopsis is not a healthcare provider, and the information made available through the Platform ("DeepSynopsis Content") is offered solely for general educational purposes. Nothing on the Platform should be interpreted as medical advice, a diagnosis, or a substitute for the individualized judgment of a qualified clinician. In particular, you acknowledge that DeepSynopsis Content:

  1. Does not guarantee that any drug, device, or therapy is safe, appropriate, or effective for a specific patient;
  2. Is not exhaustive and may omit certain indications, contraindications, warnings, interactions, or adverse effects;
  3. May be inapplicable to particular clinical circumstances or geographic markets;
  4. Is provided "as-is" and may be updated, corrected, or withdrawn without notice; and
  5. Has not been independently reviewed for compliance with federal or state marketing or disclosure laws.

Always rely on your own clinical training, local regulations, and the individualized assessment of each patient. Do not use DeepSynopsis Content in emergencies. If you have a medical emergency, call 911 (or your local emergency number) immediately.

Privacy Policy

Our separate Privacy Policy explains how DeepSynopsis collects, uses, and discloses information relating to users of the Services. By accessing the Platform, you agree to the terms of that policy, which is incorporated into these Terms by reference.

Interactions with Third Parties

Any correspondence, transaction, or promotion involving advertisers or other third parties that you encounter via the Services is strictly between you and that third party. DeepSynopsis is not responsible for any loss or liability arising from such dealings, even if they occur after an introduction through the Platform.

Governing Law

The DeepSynopsis Platform is controlled and operated by Gamma HealthTech FZ LLC from the United Arab Emirates. These Terms, and any dispute or claim arising out of or related to them or your use of the Platform, will be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict-of-laws principles.

Suspension, Modification, & Termination

DeepSynopsis may, at any time and in its sole discretion, suspend, modify, or discontinue all or part of the Services, or terminate your account, without prior notice. Grounds may include, but are not limited to:

  • Violation of these Terms, other guidelines, or applicable law;
  • Requests by law-enforcement or regulatory bodies;
  • Your own request to close the account;
  • Major changes to, or discontinuation of, the Services;
  • Technical, security, or operational issues;
  • Extended account inactivity; or
  • Suspected fraudulent or illegal activity.

DeepSynopsis shall not be liable to you or any third party for any resulting loss of access, data, or functionality.

Disclaimer of Warranties

DEEPSYNOPSIS INC. PROVIDES THE PLATFORM, ALL RELATED SOFTWARE, AND ALL DEEPSYNOPSIS CONTENT "AS-IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, DEEPSYNOPSIS AND ITS LICENSORS, PARTNERS, AND SUPPLIERS EXPRESSLY DISCLAIM every warranty, whether express, implied, or statutory, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, completeness, quality, reliability, availability, or compatibility.

You acknowledge that:

  • No statement, oral or written, has created any warranty on behalf of DeepSynopsis.
  • All data and communications travel over networks that DeepSynopsis does control; delays, interruptions, corruption, or loss of data may occur, and DeepSynopsis bears no responsibility for such issues.
  • DeepSynopsis is not liable for failures or malfunctions caused by third-party hardware, software, websites, or applications that interact with the Platform.

Some jurisdictions do not allow exclusions of implied warranties; in those regions the above exclusions apply only to the extent permitted by law.

Limitation of Liability

To the maximum extent allowed by applicable law, neither DeepSynopsis nor its directors, officers, employees, agents, contractors, sponsors, licensors, or suppliers shall be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including, without limitation, lost profits, lost data, business interruption, personal injury, or wrongful death, arising from or related to:

  • Your access to, use of, or inability to use the DeepSynopsis Platform or Content;
  • Any interaction or communication with persons found through the Services; or
  • Any other matter covered by these Terms,

whether the claim is based on contract, warranty, tort (including negligence), strict liability, or any other legal theory, even if DeepSynopsis has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

Aggregate Cap. In all events, the total cumulative liability of DeepSynopsis and its affiliates, agents, licensors, and suppliers for any and all claims arising under or related to these Terms or the Services shall not exceed USD 100 (or the minimum greater amount that applicable law requires).

Time to File. Any claim or cause of action arising from the Services must be filed within one (1) year after the event giving rise to the claim; otherwise, the claim is permanently barred.

These limitations are a fundamental element of the bargain between you and DeepSynopsis.

Indemnification

You agree to defend, indemnify, and hold harmless DeepSynopsis, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any third-party claims, demands, actions, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  1. Your use or misuse of the DeepSynopsis Platform, Services, or Content;
  2. Your violation of these Terms or of any applicable law or regulation; or
  3. Your infringement or misappropriation of any intellectual-property or other right of any person or entity.

DeepSynopsis reserves the right, at its own expense and in its sole discretion, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with DeepSynopsis in such defense.

Copyright Notice & Takedown (DMCA) Procedure

If you, in good faith, believe that material available on the DeepSynopsis Platform infringes your copyright, you may submit a takedown request to our Designated Agent. Your notice must include:

  1. Work Identified – A description of the copyrighted work you claim is infringed, and, if possible, a link or copy of the legitimate version.
  2. Allegedly Infringing Material – Enough detail for us to locate the content on the Platform (URL, screenshot, or other locator).
  3. Your Contact Details – Full name, postal address, telephone number, and (if available) email address.
  4. Good-Faith Statement – A declaration that you believe the disputed use is not authorized by the copyright owner, its agent, or the law.
  5. Accuracy & Authority Statement – A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.
  6. Signature – A physical or electronic signature of the copyright holder (or authorized representative).

Incomplete notices may be deemed insufficient and may not create actual knowledge of any alleged infringement. DeepSynopsis reserves the right to terminate accounts of repeat infringers.

Changes to the Services or Terms

DeepSynopsis may, at any time and in its sole discretion, modify, suspend, or discontinue any feature, content, or portion of the Services, or revise these Terms, without prior notice. Material changes to the Terms will be announced within the Platform (e.g., banner or pop-up). Continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the new Terms, stop using the Platform immediately.

Entire Agreement

These Terms, together with any additional legal notices on the Platform, the DeepSynopsis Privacy Policy, and (where applicable) our Business Associate Agreement, constitute the complete and exclusive agreement between you and DeepSynopsis regarding your use of the Platform and Services. They supersede all prior or contemporaneous oral or written agreements, proposals, or communications relating to the same subject matter.

Assignment

You may not assign, delegate, or otherwise transfer these Terms, whether by operation of law or otherwise, without first obtaining DeepSynopsis’s written consent. Any purported transfer in violation of this section is void. DeepSynopsis may freely assign or transfer this agreement, in whole or in part, at its sole discretion. Subject to the foregoing, these Terms will be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

Notices

DeepSynopsis may deliver any notice required or permitted under these Terms by:

  1. Email ,  sent to the address listed in your account profile; or
  2. In-Platform Posting ,  displayed prominently within the DeepSynopsis Platform.

Notices sent by email are deemed received on the date the message is transmitted. You are responsible for keeping your contact details current.

No Waiver

If DeepSynopsis fails to enforce any provision of these Terms, that omission will not be construed as a present or future waiver of such provision or of any other right. Except where these Terms expressly state otherwise, the exercise of any remedy by either party does not limit its other remedies, whether under these Terms or law.

Survival

The following sections, and any provisions that by their nature should survive, will remain in force after your account is closed or these Terms are otherwise terminated: Intellectual Property & Proprietary Rights, Acceptable Use & Restrictions, No Medical Advice, Disclaimer of Warranties, Limitation of Liability, Indemnification, Copyright Notice & Takedown Procedure, Governing Law, Survival, and any licenses granted to DeepSynopsis. Your limited license to access and use the Services terminates immediately upon account closure.
